Terms of Service

These terms govern the use of Helmr, a software service operated by Surya Narayana Enterprises LLP ("Helmr", "we", "us").

1. The service

Helmr provides gym management software as a subscription service: membership billing and invoicing, payment reminders and links, attendance, lead management, WhatsApp-based messaging tools, and website hosting for fitness businesses ("the Service"). The Service is provided to businesses ("you", the "Customer"), not to consumers.

2. Accounts

You must provide accurate business information when creating an account and keep your credentials secure. You are responsible for activity under your account and for ensuring your staff's use of the Service complies with these terms.

3. Fees and payment

Subscription fees are as published at helmr.in/pricing, billed monthly or annually in advance, in Indian Rupees, plus applicable GST. We may revise prices with at least 30 days' notice; revisions apply from your next billing cycle. Payments are collected through RBI-licensed payment aggregators or by invoice.

4. Your members' payments

Payments made by your members to you are processed through payment rails connected to your own accounts. Helmr does not hold, pool, or take a commission on your members' payments. Payment processing is subject to the terms of the respective licensed payment aggregator.

5. Your data and your members' data

You retain ownership of the data you and your members enter into the Service. You are responsible for having the right to store and process your members' personal data (including obtaining consent where required, such as for biometric attendance). We process such data on your behalf as described in the Privacy Policy. You can export your data at any time; on cancellation, export remains available for 30 days.

6. Acceptable use

You may not use the Service to send spam or unlawful communications, to violate the policies of messaging platforms (including WhatsApp/Meta), to store unlawful content, or to interfere with the Service's operation. We may suspend accounts engaged in such use after notice where practicable.

7. Cancellation

You may cancel at any time from within the Service. Cancellation stops future billing. Refunds are governed by the Refunds & Cancellations policy. We may terminate the Service for material breach of these terms with notice.

8. Availability and support

We aim to keep the Service available continuously but do not guarantee uninterrupted availability. Support is provided over WhatsApp and email during Indian business hours.

9. Limitation of liability

The Service is provided "as is". To the maximum extent permitted by law, our aggregate liability for any claim arising out of the Service is limited to the fees you paid to us in the three months preceding the claim. We are not liable for indirect or consequential losses, or for outcomes of your business decisions.

10. Governing law

These terms are governed by the laws of India. Disputes are subject to the jurisdiction of the competent courts at the registered office of Surya Narayana Enterprises LLP.

11. Changes

We may update these terms; material changes will be notified by email or in-product at least 15 days before taking effect.
